• "Bond Registrar" means the fiscal agency of the State of Washington in either Seattle, Washington, or New York, New York, for the purposes of registering and authenticating the Bonds, maintaining the Bond Register, effecting the transfer of ownership of the Bonds and paying interest on and principal of the Bonds. "Bonds" or "Bond" means all or a portion of the City of Everett, Washington, Limited Tax General Obligation Bonds, 1997, issued pursuant to this ordinance. "City" means the City of Everett, a municipal corporation duly organized and existing under the laws of the State of Washington. "City Clerk" means the duly qualified, appointed and acting City Clerk of the City or any other officer who succeeds to the duties now delegated to that office. "Code" means the federal Internal Revenue Code of 1986, as amended. Any reference to a provision of the Code shall include the applicable regulations of the Department of the Treasury promulgated or proposed with respect to such provision. "Commission" means the Securities and Exchange Commission. "Council" means the City Council of the City, the general legislative body of the City, as the same shall be duly and regularly constituted from time to time. "Finance Director" means the duly qualified, appointed and acting Finance Director of the City or any other officer who succeeds to the duties now delegated to that office. "Golf Course Project" means improvements to and redevelopment of the City's Legion Park golf course, including redesign and regrade of the course, and, if sufficient funds are available, certain improvements to the City's Walter E. Hall golf course. "MSRB" means the Municipal Securities Rulemaking Board or any successor to its functions. "NRMSIR" means a nationally recognized municipal securities information repository. "Projects" means the Golf Course Project and the Solid Waste Project. "Registered Owner" means the person in whose name a Bond is registered on the Bond Register. -2- DOTOM6.DOC 97/08/20
