AMENDMENT NO.1 TO PROFESSIONAL SERVICES AGREEMENT BETWEEN THE CITY OF EVERETT AND BROWN & CALDWELL The City and Brown & Caldwell agree to amend and modify their professional services agreement dated November 17`h, 2006 (the "Agreement") as follows: WHEREAS, Brown and Caldwell entered into an Agreement dated November 17`" 2006 to produce a Water Filtration Facility Operation and Maintenance Manual Phase 1 for the City of Everett; and WHEREAS, additional design consulting support services are needed, and the Agreement is likely to expire prior to completion of the project; and WHEREAS, the City of Everett requires continued assistance from Brown & Caldwell for services as described in Exhibit A of this Amendment. NOW THEREFORE, the City of Everett and Brown & Caldwell agree to amend and modify the Agreement as follows: 1. Paragraph 3 of the Agreement is amended to read as follows: 3. Time of Beginning and Completion of Performance. This Agreement shall commence as of the date of execution of this Agreement and shall be completed by December 31, 2008. 2. The effective date of this Amendment is November 30`h, 2007. 3.
