AMENDMENT NO.4 TO THE PROFESSIONAL SERVICES AGREEMENT BETWEEN THE CITY OF EVERETT AND HWA GeoSciences, Inc. WHEREAS, HWA GeoSciences, Inc. and the City entered into an Agreement dated February 7, 2005 ("Agreement")to provide environmental and other consulting services to the City related to the Everett Landfill; and WHEREAS,the City continues to need environmental monitoring and other environmental consulting services related to the Everett Landfill to assure our continued compliance with various regulatory requirements and the Department of Ecology's Consent Decree; and WHEREAS,the City and HWA GeoSciences, Inc., agree to amend their Agreement to: provide an 771 additional contract time, and amend the rate and cost of the service provider; WHEREAS,the Agreement currently states that the Agreement shall be completed as of December 31, 2016; and WHEREAS,the City and HWA GeoSciences Inc., agree to amend the Agreement to extend the time for completion from December 31, 2016 to December 31, 2020; ander NOW THEREFORE,the City and HWA GeoSciences, Inc. agree to amend and modify the Agreement as follows: A. Paragraph 3 of the Agreement is amended to read as follows: 3. Time of Beginning and Completion of Performance. This Agreement shall commence as of the date of execution of this Agreement and shall be completed by December 31, 2020. B. Regardless of the dates on which this Amendment No. 4 is signed by the parties, the parties agree that the Agreement did not expire on December 31, 2016. The parties agree that the Agreement has been continuously in effect since February 7, 2005. C. Paragraph 4 of the Agreement is amended to read as follows: B.
