"Bond Registrar" means the fiscal agency of the State of Washington in either Seattle, Washington, or New York, New York, for the purposes of registering and authenticating the Bonds, maintaining the Bond Register, effecting the transfer of ownership of the Bonds and paying interest on and principal of the Bonds. "Bonds" or "Bond" means all or a portion of the City of Everett, Washington, Limited Tax General Obligation Refunding Bonds, 1994 Series B, issued pursuant to this ordinance. "Code" means the Internal Revenue Code of 1986, as amended. Any reference to a provision of the Code shall include the applicable regulations of the Department of the Treasury promulgated or proposed with respect to such provision. "Council" means the City Council of the City, the general legislative body of the City, as the same shall be duly and regularly constituted from time to time. "Escrow Agreement" means the agreement between the City and the Refunding Trustee entered into pursuant to Section 14 hereof "Finance Director" means the Director of Budget and Finance of the City or any other officer who succeeds to the duties now delegated to that office. "Municipal Bond Insurance Policy" means the municipal bond insurance policy issued by AMBAC Indemnity insuring the payment when due of the principal of and interest on the Bonds as provided therein. "1988 Bonds" means the City of Everett, Washington Limited Tax Levy General Obligation Bonds, 1988, issued pursuant to Ordinance No. 1505-88 of the City and presently outstanding in the principal amount of$6,335,000. "1988 Refunded Bonds" means the 1988 Bonds maturing after July 1, 1998. "1990B Bonds" means the City of Everett, Washington Limited Tax Levy General Obligation Bonds, 1990 Series B, issued pursuant to Ordinance No. 1740-90 of the City and presently outstanding in the principal amount of$2,390,000. "1990B Refunded Bonds" means the 1990B Bonds maturing after December 1, 2000. -3- o01138L.DOC 94/01/19
