<br /> 6. G & M shall provide all cleaning, maintenance and repair for the I
<br /> regional stormwater detention ,acility for a period of one year following final �
<br /> inspection and approval by the City. Following the lapse of this one ycar period of I
<br /> time, the City shall provide the cleaning, maintenance and repair for the regional �I
<br /> stormwater detention facility provided G & M provides the City with a permanent I
<br /> easement in a form acceptable to the City. �I
<br /> 7. G & M agrees to hold harmless and indemnify the City, its officers, I
<br /> I
<br /> employees and agents, from any and all claims for damages, demands or causes of I
<br /> action, whether to persons or property, that in any manner direcdy or indirectly I
<br /> arise out of the design �nd/or construction of the regiona] stormwater detention
<br /> faciliry described herein and upon notice to the Developer, G & M shall accept anc;
<br /> defend the same at the so]e cost of G & M and satisfy any judgment should such
<br /> claim, demand or cause of action be determined adversely to the City, its officers, I,
<br /> employees and agents. This obligation shall not include such claims, costs, dacnages I
<br /> or expenses which may be caused by the sole negligence of the City, its officers,
<br /> employees or agents; Provided, that, if the claims or damages are caused by or ��
<br /> resul[ from the concurrent negligence of (a) the Ci[y, its officers, employees or I�
<br /> agents, and (b) G & M, its agents, successors or nssigns, this indemr.ity provision
<br /> shall be valid and enforceable to the extent of the negligence of G 3c M, its agents,
<br /> successors or assigns. (For example, where G & M is 25% negligent, the
<br /> indemnification shall extend to 25% of the City's concurrent negligence.)
