<br /> THiS AGREQfII�T between the City of E�erett, hereinafter called the
<br /> "City," and Everett Iand Associates, of Bellevue, Washington, hereinaftec
<br /> called "Associates," witnesses as follows:
<br /> WI�REAS, Associates and City desire to improve 12th Street and Rainier
<br /> Avenue by the realignment and reconstruction of the intersection of Rainier
<br /> in accordance with the preliminary estunate and cost shariny outlined in
<br /> nchibit A, attached hereto.
<br /> N�W� TFg,REF'ORE, the parties agree:
<br /> �
<br /> 1. Associates shall, at its sole cost and expense, engage the
<br /> services of a professional engineer to perform soils analysis, survey and
<br /> ti
<br /> I` pxepare roadway and storm drainage plans for reconstruction of 12th Stceet
<br /> O
<br /> O and the intersection of Fainier and 12th acceptable to the City Engineer. �

<br /> (�J �e City Fhgineer shall, at its sole cost and expense, prepare final
<br /> �
<br /> (� specifications for said plans and advertise for award of a public works
<br /> �
<br /> � contract as a part of the City's NIP program. City shall provide construc-
<br /> tion administration services for said contract, including construction
<br /> inspection, surveying and staking of work on City right-ofwray. No
<br /> rightrof-way permit and ins�action fees shall be charged to Associates. I
<br /> 2. Payments to Contractor for construction costs shall be shared
<br /> 50/50 in storm drainage costs and 42$ Associates/589 City on street
<br /> reconstruction costs. Payment by Associates to City shall be within 30 days
<br /> of City invoice. In the event that the low bid exceeds $50,000 for I
<br /> Associates share of storm drainage and street reconstcuction, thi� agreement
<br /> may, at Assoc�ates' option, be terminated. Failure of either party hereto
<br /> or the Contractor to complete the work contertq�lated herein shall not relieve
<br /> Associates of its environmental and other legal responsibilities for
<br /> right-of-way/draina9e improvements. Payment of any post-contract claims of
<br /> the contractor shall be determined kased on the relationship of the claim to
<br /> the above costs sharing, i,.e., claims relaF.ed to storm drainage shall be
<br /> shared 50/50 and claims related to street reconstruction shall be shared 428
