WASHWISE REBATE PROGRAM AGREEMENT BETWEEN PUBLIC UTILITY DISTRICT #1 OF SNOHOMISH COUNTY AND THE CITY OF EVERETT This Agreement is made and entered into on this day of December 30, 2008, by and between Public Utility District No. 1 of Snohomish County("PUD") and the City of Everett ("City"). WHEREAS, the PUD has entered into an agreement with Portland Energy Conservation Inc. ("PECI") to administer the WashWise Clothes Washer Program in Snohomish County; and WHEREAS, the WashWise Program provides rebates to consumers who replace older inefficient clothes washers with new energy and water efficient clothes washers; and WHEREAS, the PUD and the City have determined that it is in the best interest of both Parties to join together for the purpose of encouraging residents to install efficient clothes washers; and WHEREAS, the PUD and the City desire to share the cost of each Tier 3 clothes washer rebate processed by PECI; NOW,THEREFORE, the Parties herein do mutually agree as follows: JOINT PROGRAM The WashWise Program offers three tiers of rebates based upon the energy/water efficiency rating of the clothes washer. Tier 1 units are eligible for$50 rebates,Tier 2 units are eligible for $75 rebates, and Tier 3 units are eligible for$100 rebates. Under this Agreement, the PUD and the City will share the cost of the Tier 3 rebates processed for residents of Snohomish County. TERM This Agreement shall remain in force from January 1, 2009 through December 31, 2009, unless the Parties agree in writing to extend the term, or unless this agreement is earlier terminated. Either Party may terminate this Agreement by sending a written notification of termination ("Notice") to the other Party. The Notice shall specify a termination date at least fourteen (14) days after the date the Notice is issued. COMPENSATION For each WashWise Tier 3 clothes washer rebate paid by PECI to a resident of Snohomish County, the City shall reimburse the PUD one-half the rebate amount and PECI administrative fee plus a$1 per unit administrative charge by the PUD, or$77.26. The total compensation to the PUD shall not exceed a maximum of$270,000. The PUD shall provide the City a monthly invoice based upon the number of WashWise Tier 3 clothes washer rebates paid by PECI. Attached to the invoice shall be a report that, at a minimum, identifies the total number of rebates processed by PECI (all tiers) for residents of 3 Snohomish County, with a breakdown of the rebate amounts paid by zip code and tier level.
