0' <br /> AMENDMENT NO. 2 TO PROFESSIONAL SERVICES AGREEMENT BETWEEN <br /> THE CITY OF EVERETT <br /> AND <br /> CAROLLO ENGINEERS, P.C. <br /> The City and Carollo Engineers, P.C. (Carollo) agree to amend and modify their professional <br /> services agreement dated November 15th, 2004 (the "Agreement") as follows: <br /> WHEREAS, Carollo and the City entered into an Agreement dated November 15th, 2004 to <br /> provide engineering consulting services for the design of the Clearwell No. 2 project at the <br /> Everett Water Filtration Plant; and <br /> WHEREAS, the parties amended the Agreement on June 25`h, 2007 to extend the time for <br /> completion to December 31, 2009, and to provide an additional $991,000 compensation for <br /> added design consulting and for construction period support services for the Clearwell No. 2 <br /> project; and <br /> WHEREAS, work is not yet complete on the Clearwell No. 2 project for which Carollo provided <br /> engineering design and construction period support services; and <br /> WHEREAS, the total amount of compensation stated in the Agreement as amended is <br /> insufficient for the remainder of the project and an additional$198,180 of contract value is <br /> needed to complete the projects; and <br /> WHEREAS the City of Everett requires continued assistance from Carollo for services as <br /> described in Exhibit A of this Amendment; <br /> NOW THEREFORE, the City of Everett and Carollo Engineers agree to amend and modify the <br /> previously amended Agreement as follows: <br /> 1. The work described in Exhibit A of this Amendment is added to the Scope of Work <br /> described in Exhibit A of the Agreement: <br /> 2. Paragraph 4(D) is modified to read as follows: <br /> Total compensation, including all services and expenses, shall not exceed a <br /> maximum of One Million, Eight Hundred Seventy Seven Thousand, Eight <br /> Hundred and Twenty Seven Dollars ($1,877,827). <br /> 3. The effective date of this Amendment is January 1, 2009. <br /> 4.
