12 AMENDMENT NO.1 TO PROFESSIONAL SERVICES AGREEMENT BETWEEN THE CITY OF EVERETT AND DR. SHAWNA GIBSON The City and Dr. Shawna Gibson agree to amend and modify their professional services agreement dated September 2, 2008 (the"Agreement") as follows: WHEREAS, Dr. Shawna Gibson and the City entered into an Agreement dated September 2, 2008 ("Agreement") to provide intelligence analyst services for the City of Everett; and WHEREAS, the Seattle Police Department has asked the City to extend the completion date of the original Agreement and is willing to reimburse the City for all additional expenses associated with said extension(Seattle PD Interagency Agreement 2008-36, Amendment 1); and WHEREAS, the total amount of compensation as stated in the Agreement is insufficient to pay for intelligence services beyond the original completion date of September 30, 2009, an additional $47,858.00 is needed for continued performance of said services; and WHEREAS, the City and Dr. Shawna Gibson agree to amend their Agreement to: (a) extend the time for completion from September 30, 2009 to May 15, 2010 and(b) increase the maximum compensation by an additional $47,858.00 from the current contract level of$75,000.00 to $122,858.00; and NOW THEREFORE, the City of Everett and Dr. Shawna Gibson agree to amend and modify the previously amended Agreement as follows: 1. Paragraph 4(D) is modified to read as follows: Total compensation, including all services and expenses, shall not exceed a maximum of One hundred twenty-two thousand eight hundred and fifty-eight Dollars ($122,858.00). 3. Paragraph 3 is modified to read as follows: This agreement shall commence as of the date of execution of this Agreement, and unless otherwise extended, shall be completed by May 15, 2010. 4.
