TY CITY OF EVERETT CI AMENDMENT NO. 3 The City of Everett and ICF Jones& Stokes, Inc. (ICF Jones&Stokes,Inc.)agree to amend and modify their professional services agreement dated January 13,2015 (the"Agreement")as follows: WHEREAS, ICF Jones& Stokes,Inc. and the City entered into an agreement dated January 13,2015 to provide design and permitting services for the Smith Island Habitat Restoration,with a total amount of compensation of$261,803 ;and WHEREAS ICF Jones& Stokes,Inc.and the City amended said agreement by Amendment No.1 added professional services to the agreement and increased the total amount of compensation to $291, 803; and WHEREAS ICF Jones& Stokes,Inc. and the City amended said agreement by Amendment No.2 to extend the date for completion to June 15, 2018 at no additional cost; and WHEREAS,the City of Everett requires additional assistance to complete the design of the project,assist in managing the project during construction and perform post construction documentation and monitoring; and NOW THEREFORE, the City of Everett and ICF Jones & Stokes, Inc. agree to amend and modify the Agreement as follows: 1. Paragraph 3 of the Agreement is amended to read as follows: Time of Beginning and Completion of Performance. This Agreement shall commence as of the date of execution of this Agreement and shall be completed by June 30,2019. 2. Paragraph 4(B)is amended to read as follows: The City shall pay ICF Jones & Stokes, Inc. a sum equal to the amount of hours worked multiplied by the rates identified in Attachment 2 for the staff performing the Work, subject to the maximum stated in paragraph 4(D)of this Agreement. 3. Paragraph 4(D)is amended to read as follows: Total compensation,including services and expenses,shall not exceed a maximum of Three Hundred Seventy Eight Thousand One Hundred and Thirty One Dollars ($378,131). 4. Exhibit A-Scope of Work is Amended to include Exhibit A-Scope of Work-Amendment No. 3 5. Exhibits B and C are amended to include Exhibit B&C dated January 20,2017. 6. All terms,conditions and provisions of the previously amended Agreement remain in full force and effect,except as expressly modified by this Amendment.
