Service Agreement <br /> EARTH between <br /> CORPS <br /> \ EarthCorps <br /> 6310 NE 74th St, Suite 201E, Seattle,WA 98115 <br /> Phone: (206)322-9296 * Fax: (206)322-9312 <br /> Email: info@earthcorps.org <br /> and <br /> City of Everett <br /> 3200 Cedar Street <br /> Everett,WA 98201 <br /> Grant Moen,P.E. <br /> Senior Engineer .� <br /> City of Everett Public Works <br /> (425)257-8947 <br /> gmoen(&everettwa.aov <br /> This service agreement ("Service Agreement") is made and entered into on February 2, <br /> 2017, and between the City of Everett ("Sponsor") and EarthCorps ("EarthCorps"), <br /> collectively the"Parties". <br /> Purpose of Service Agreement: The purpose of this Service Agreement is to identify the <br /> conditions whereby EarthCorps can complete a project on various properties <br /> (collectively, the "Property") as a means to fulfill its mission to build global community <br /> through local environmental service. EarthCorps provides training in the hands-on skills <br /> of environmental restoration, and will use this project or task to meet training goals. <br /> EarthCorps understands that the Sponsor has its own goal for the project. A detailed <br /> scope of work (the "SOW") is attached to this Service Agreement. <br /> Terms of Service Agreement: In consideration of the mutual promises and covenants <br /> hereinafter contained, the Parties hereto agree as follows: <br /> 1) In order to provide a hands-on training experience, EarthCorps agrees to provide <br /> services to Sponsor as specified in the SOW (the "Services"), attached hereto and <br /> incorporated herein. <br /> a) To the extent not already in the SOW, Sponsor and EarthCorps shall mutually agree, in <br /> advance and in writing, on specifications for the Services and the estimated timeline. The <br /> Sponsor's project manager may approve/sign such items on behalf of the Sponsor. <br /> b) Reports will be submitted to Sponsor on a monthly basis or upon completion of work, <br /> whichever occurs first. Reports will itemize work completed as of the report date. <br /> c) Upon completion of the Services, EarthCorps shall not be responsible for nor have any <br /> liability related to the Property site maintenance, plant survival, or structural fault of <br /> project engineering, design, or installation. <br /> d) Should Sponsor identify new or additional Services it wishes to have performed by <br /> EarthCorps, upon mutual agreement, the parties shall amend the SOW then in effect, <br /> agreeing to such additional Services in writing. <br />
