8 <br /> provided that any such Party shall initiate ADR pursuant to this section 5 as soon <br /> as practicable thereafter or concurrently therewith. <br /> 5.3 Remedies <br /> This Settlement Agreement does not create a cause of action in contract for <br /> monetary damages for any alleged breach by any Party of the Project License or <br /> this Settlement Agreement. The Parties reserve all other existing remedies for <br /> material breach of the Project License or this Settlement Agreement,including <br /> seeking a license amendment or other appropriate relief from FERC. <br /> 6. Withdrawal From Settlement Agreement <br /> 6.1 Withdrawal of a Party from Settlement Agreement <br /> En addition to the withdrawal rights provided by sections 4.11,the Party whose <br /> interests are adversely affected by a Material Modification or a Party's action that <br /> is materially inconsistent with the terms of this Settlement Agreement or Project <br /> License may withdraw from this Settlement Agreement. A Party may withdraw <br /> under this section or section 4.11 only after the Parties comply with the ADR <br /> process in section 5 of this Settlement Agreement. Following completion of the <br /> ADR process,the aggrieved Party may provide Notice to the other Parties of its <br /> withdrawal from this Settlement Agreement,pursuant to section 7.11. <br /> If the Licensee is required to make a FERC filing addressing an issue(s)not <br /> successfully resolved through ADR pursuant to section 5,no Party may withdraw <br /> from this Settlement Agreement until FERC issues an order on the Licensee's <br /> filing. Any Party materially aggrieved by the FERC order as it relates to the <br /> disputed matter may then withdraw pursuant to this section 6,seek rehearing <br /> before FERC,or exercise any other remedy available under applicable law. For <br /> issues that do not require a FERC filing,the Disputing Party or Parties may <br /> withdraw from this Settlement Agreement following completion of the ADR <br /> process set forth in section 5. <br /> 6.2 Effective Date of Withdrawal <br /> If ADR is unsuccessful and the aggrieved Party provides Notice of withdrawal, <br /> the withdrawal shall become effective ten(10)calendar days after such Notice. <br /> 6.3 Termination of Settlement Agreement <br /> Upon expiration of the Project License and any subsequent annual license(s),or <br /> upon withdrawal from this Settlement Agreement by the Licensee,or upon a <br /> denialofSection 401 Certification as set forth in section 4.5.2.1,this Settlement <br /> Agreement shall terminate as to all Parties and have no force or effect,except that <br /> all Parties shall continue to be bound by sections 2.2 and 7.1,which shall survive <br /> DRAFT—CONFIDENTIAL <br /> SETTLEMENT DOCUMENT-22 <br /> 60 <br />
