8 <br /> 3.3 Scheduling of meetings should be informed by milestone events contained within <br /> specific license articles. The ARC will meet quarterly for the term of the Project License and <br /> any annual licenses or as needed-to meet the coitialtation requuements oftlle License Articles. <br /> • <br /> 3.4 The Licensee shall make the ARC meeting schedule and meeting agenda <br /> available on its web site. During meetings,prior to committee deliberations,the ARC will allow <br /> stakeholders to address the ARC and provide comments on each agenda topic being discussed. <br /> 3.5 The Licensee shall bear all costs associated with conducting meetings. Each <br /> member shall bear its own cost of attendance. A member's ongoing participation on the ARC is <br /> subject to that member's budget and resource constraints. <br /> 3.6 The role and procedures of the ARC shall be evaluated five(5)years after <br /> issuance of the Project License at which time the ARC shall determine if it should remain the <br /> same,be modified or discontinued. The ARC will reevaluate its role and procedures as needed <br /> and at least every five years thereafter,throughout the term of the Project License and any annual <br /> licenses. <br /> 3.7 ARC members shall first use the dispute resolution process of the settlement <br /> agreement to resolve disputes arising from ARC deliberations,prior to seeking remedies in any <br /> other forums. <br /> 4.0 COMMITTEE DELIBERATIONS <br /> 4.1 The ARC shall seek to reach consensus.Consensus is achieved when all ARC <br /> members cast a supportive or neutral vote or have abstained from the decision. When any vote <br /> is taken at a meeting,the Licensee shall provide the results to and seek the vote of non-present <br /> members within three(3)working days. ARC members not present must inform the Licensee of <br /> their vote within ten(10)working days after the meeting or they shall be deemed to have <br /> abstained from the decision. Alternatively,a vote may be cast by proxy. <br /> 4.2 Agencies do not waive or relinquish in any respect any approval authorities under • <br /> the Federal Power Act or other applicable law through its participation in the ARC consensus <br /> process and any subsequent ADR process.While the goal of the ARC is consensus decision- <br /> making where possible,nothing in the Settlement is intended to transfer legal authority or <br /> jurisdiction from any party to any other. <br /> 78 <br />
