Replace first sentence of Section 10 of Exhibit A (General Conditions) with the <br />following: <br />To the extent of the Service Provider's fault, breach of this Agreement, willful misconduct, or <br />violation o, law, the Service Provider hereby agrees, except as otherwise provided in this Section <br />10, to defend and indemnify the City from any and ail Claims arising out or relating to the <br />performance of this Agreement by Service Provider (or by its employees, agents, representatives <br />or subcontractors/subconsuitants), whether such Claims sound in contract, tort, or any other legal <br />theory. <br />15 <br />
