5 <br />AMENDMENT NO.3 <br />PROFESSIONAL SERVICES AGREEMENT <br />BETWEEN <br />THE CITY OF EVERETT AND URS CORPORATION <br />The City of Everett ("City") and URS Corporation ("URS") enter into this Amendment No. 3 as <br />of June , 2010. <br />WHEREAS, URS entered into the professional services agreement dated February 3, 2007 with <br />the City, to perform design and permitting assistance for the No. 5 line protection project within <br />the former Drainage District No. 6 area, which has been amended by Amendment No. 1 and <br />Amendment No. 2 (as amended, the "Agreement:"); and <br />WHEREAS, URS completed the work scope to -date and an evaluation of alternatives, and the <br />City requests further assistance from URS in the design and permitting of the selected alternative <br />and to assist and coordinate with the U.S. Army Corps of Engineers; and <br />WHEREAS, the Agreement currently states that the Agreement shall be completed as of <br />December 31, 2009; and <br />WHEREAS, the City and URS Corporation agree to amend the Agreement to extend the time for <br />completion from December 31, 2009 to December 31, 2011; and <br />NOW THEREFORE, the City and URS agree to amend and modify the Agreement as follows: <br />A. Paragraph 3 of the Agreement is amended to read as follows: <br />3. Time of Beginning and Completion of Performance. This Agreement shall <br />commence as of the date of execution of this Agreement and shall be completed by <br />December 31, 2011. <br />B. Regardless of the dates on which this Amendment No. 3 is signed by the parties, the <br />parties agree that the Agreement did not expire on December 31, 2009. The parties <br />agree that the Agreement has been continuously in effect since February 3, 2007. <br />C. Paragraph 4 of the Agreement is amended to read as follows: <br />B. The Service Provider shall be paid such amounts and in such manner as described <br />in the attached revised Exhibits B and C. <br />D.
