5 NOW, THEREFORE,IT IS AGREED as follows: 1. Purpose of Agreement The purpose of this Agreement is to set forth the terms and conditions under which the COUNTY will provide bridge inspection services for the CITY. 2. Scope of Agreement A. The COUNTY agrees to perform for the CITY any and all functions specified below relating to bridge inspection services, subject to the availability of sufficient personnel, equipment and materials to perform the requested work without unduly disrupting the normal operation and functions of the COUNTY. B. For the purpose of this Agreement, "bridge inspection services" shall be limited to the following activities, not subject to mandatory competitive bidding, as determined by the CITY: Bridge inspections, completion of bridge inspection reports (including photos and descriptions of the inspection), and entry of bridge inspection data into the Washington State Bridge Inventory System as described in Exhibit A, attached and incorporated by reference into this Agreement. Bridge inspection services will not include any activities or work for which the COUNTY lacks the qualified personnel or specialized equipment needed to perform said activities or work. C. For the purpose of this Agreement, "bridge inspection services" are hereinafter referred to as "Services." D. For the purpose of this Agreement, Services shall be limited to the CITY-owned bridges listed in Exhibit B, attached and incorporated by reference into this Agreement. E. The COUNTY Public Works Director and/or the COUNTY Engineer, acting as the administrators of this Agreement, and CITY Public Works Director and/or CITY Engineer are authorized to act on behalf of the COUNTY and CITY respectively, and shall develop working procedures associated with any of the activities comprising the Services.
