15 Autodesk@Developer Network <br /> THIS AGREEMENT SHALL BE VOID IF MODIFIED <br /> AUTODESK DEVELOPER NETWORK PROGRAM AGREEMENT <br /> NO. <br /> [Insert Your ADN ID Number Obtained During the Application Process] <br /> This Autodesk Developer Network Program Agreement is entered into 20_, [insert day, <br /> month and year] between AUTODESK, INC., located at 111 McInnis Parkway,San Rafael, California 94903 <br /> and <br /> [insert Your full company name or, if a sole proprietor, Your name], located at <br /> [Insert Your complete Office Address]. <br /> 1. DEFINITIONS. In addition to those terms defined within the text of the Agreement,the following <br /> defined terms shall apply throughout this Agreement: <br /> 1.1 "ADN" means the Autodesk Developer Network, the Autodesk program for providing select <br /> software developers with certain Software,tools,technologies, materials,and support to develop superior <br /> design solutions that complement and enhance Autodesk's products and/or services <br /> 1.2 "ADN Membership" means membership in the Autodesk Developer Network. <br /> 1.3 "ADN Membership Application" means Developer's completed Autodesk application form,and any <br /> and all related materials or information utilized or submitted to Autodesk, for participation in Autodesk's <br /> Software Developer Program. <br /> 1.4 "Agreement" means this Autodesk Developer Network Agreement between Autodesk and <br /> Developer. <br /> 1.5 "Autodesk" means Autodesk,Inc. and its affiliates. <br /> 1.6 "Developer" means the developer, approved and authorized by Autodesk, who has executed this <br /> Agreement. <br /> 1.7 "Developer Confidential Information" means information provided to Autodesk by Developer that <br /> is marked as confidential or provided to Autodesk accompanied by a writing (paper or email) that states <br /> the material is confidential. Developer Confidential Information shall not include (i) information already <br /> known to Autodesk without restriction on use or disclosure prior to first receipt from Developer; (ii) <br /> information which is or becomes available to the public other than by breach of this Master Agreement by <br /> Autodesk; (iii) are released for general disclosure by an official release or announcement made by <br /> Developer; (iv) are rightfully received by Autodesk from a third party without breach of any obligation of <br /> confidentiality and without restriction on subsequent disclosure; (v) are independently developed by <br /> Autodesk employees without access to Confidential Information; or(vi) are required to be disclosed by a <br /> court of competent jurisdiction provided Developer is given prompt prior written notice of such <br /> requirement and the scope of such disclosure is limited to the extent possible. <br /> 1.8 "Developer Support" means certain technical and/or API-related support services for the Software <br /> as designated and determined solely by Autodesk. <br /> 1.9 "Developer Works" means the design solutions (including products, publications and services) <br /> developed by Developer based in some part on the Software and that complement and enhance <br /> Autodesk's products and/or services,at the Licensed Sites,pursuant to this Agreement and includes, <br /> ADN Program Agreement-Americas 1 11-Nov-09 <br /> 96 <br />
