3 <br /> AMENDMENT NO. 1 <br /> TO PROFESSIONAL SERVICES AGREEMENT <br /> THIS AMENDMENT is dated as of July 22, 2010,by and between the CITY OF <br /> EVERETT,a Washington municipal corporation(the"City")and ICLEI-LOCAL <br /> GOVERNMENTS FOR SUSTAINABILITY USA,INC. (the"Service Provider"). <br /> RECITALS <br /> A. The City and Service Provider are parties to the Professional Services Agreement <br /> dated January 5, 2010 (the"Agreement"). <br /> B. The City is the recipient of a grant from the U. S. Department of Energy("DOE") <br /> under the Energy Independence and Security Act of 2007(the"Grant"). The Grant award <br /> number is DE-SC0002890. The Agreement is funded by the Grant. <br /> C. The Grant is subject to the following terms and conditions(the"Grant Terms and <br /> Conditions"): <br /> • Grant and Cooperative Agreement/Assistance Agreement Cover Page <br /> • Special Terms and Conditions for the Energy Efficiency and Conservation <br /> Block Grant Program(the"Special Terms and Conditions") <br /> • Title V, Subtitle E of the Energy Independence Security Act(EISA) of 2007, <br /> Public Law 110-140 <br /> • DOE Assistance Regulations, 10 CFR Part 600 (the"DOE Assistance <br /> Regulations") <br /> • Grant application/proposal as approved by DOE <br /> • National Policy Assurances, available at <br /> http://management.energy.gov/documents/NationalPolicyAs surancesaug2008. <br /> pdf <br /> • Other terms and conditions imposed by law or DOE <br /> The Special Terms and Conditions are attached as Exhibit A to this Amendment. <br /> D.
