6. ADMINISTRATION AND IDENTIFICATION OF CONTACTS <br /> 6.1 Notice. Any notice or communication required or permitted to be given pursuant to this <br /> Agreement shall be in writing, and shall be sent postage prepaid by U.S. Mail to the contact <br /> persons and addresses identified in Section 6.2 of this Agreement unless otherwise provided in <br /> writing by the Parties. <br /> 6.2 Contact Persons and Addresses. <br /> For WSDOT: Tom Washington <br /> WSDOT Urban Planning Office <br /> 401 Second Avenue South, Suite 300 <br /> Seattle, WA 98104 <br /> For the CITY: Richard Tarry <br /> City of Everett <br /> 2930 Wetmore Avenue <br /> Everett, WA 98201 <br /> 6.3 Amendment. Either Party may request changes to the provisions of this Agreement. Any <br /> such changes must be mutually agreed upon and incorporated by written amendment to this <br /> Agreement. No variation or alteration of the terms of this Agreement shall be valid unless made <br /> in writing and signed by authorized representatives of the Parties hereto. <br /> 6.4 Dispute Resolution. The Parties, through their designated representatives identified in <br /> Section 6.2 of this Agreement, shall use their best efforts, through good faith discussion and <br /> negotiation, to resolve any disputes pertaining to this Agreement that may arise between the <br /> Parties. If these designated representatives are unable, after good faith efforts, to resolve a <br /> dispute, the responsible project or division directors of both Parties, or their designees, shall <br /> review the matter and attempt to resolve it. If they are unable to resolve the dispute, the matter <br /> shall be reviewed by the department directors of both Parties or their designees. The Parties <br /> agree to exhaust each of these informal dispute resolution efforts before seeking to resolve <br /> disputes in a court of law or any other forum. Each Party shall be responsible for its own costs <br /> and fees associated with dispute resolution. <br /> 7. INDEMNIFICATION AND HOLD HARMLESS • <br /> The Parties shall protect, defend, indemnify, and hold harmless each other and their employees, <br /> authorized agents, and/or contractors, while acting within the scope of their employment as <br /> such, from any and all costs, claims, judgments, and/or awards of damages (both to persons <br /> and/or property), arising out of, or in any way resulting from, each Party's obligations to be <br /> performed pursuant to the provisions of this Agreement. The Parties shall not be required to <br /> indemnify, defend, or hold harmless the other Party if the claim, suit, or action for injuries, death, <br /> or damages (both to persons and/or property) is caused by the negligence of the other Party; <br /> provided that, if such claims, suits, or actions result from the concurrent negligence of (a) the <br /> WSDOT, its employees, authorized agents, or contractors and (b) the CITY, its employees or <br /> authorized agents, or involves those actions covered by RCW 4.24.115, the indemnity <br /> provisions provided herein shall be valid and enforceable only to the extent of the negligence of <br /> each Party, its employees, authorized agents, and/or contractors.
