011PP . f EVERETT RESOLUTION NO. 3543 A RESOLUTION . of the City of Everett, Washington, authorizing the Mayor to execute a letter of understanding and revised lease for the Everett Community Theater. WHEREAS, the City of Everett ("City") has heretofore adopted Resolution No. 3493 on July 3 , 1991, authorizing execution of a construction contract and lease for the Everett Community Theater with Colby Square Partners; and WHEREAS, Colby Square Partners has assigned its interest therein to Colby Square Partners, Ltd. , a limited partnership, and has requested the City to approve said assignment; and WHEREAS, in order to obtain financing for the project, certain revisions of the lease form included in the RFP have been negotiated, together with certain understandings and clarifications of the project terms and conditions have been negotiated, as outlined in Colby Square Partners, L.P. 's October 22 , 1991, letter; NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF EVERETT as follows: Section 1 : Execution of Construction Contract and Lease. The City Council authorizes the Mayor and City Clerk to execute a Construction Contract, Trust Agreement, October 22 , 1991, Letter of Clarification, Syndication Agreement, and Lease for the design and construction of the Everett Community Theater, substantially in the form presented to City Council and discussed at City Council's October 23 , 1991, meeting, with some changes as may be approved by the City Attorney or Preston Thorgrimson Shidler Gates & Ellis, counsel to the City. The City Council further authorizes and directs that City officers, employees and agents, take all action necessary or advisable to accomplish such execution and carry out the terms and conditions of such agreements as so executed. Section 2 : The Mayor is authorized to execute said documents with Colby Square Partners, L.P. , and the assignment thereto by Colby Square Partners is hereby approved by the City of Everett.
