• <br /> 2 GENERAL TERMS AND CONDITIONS <br /> INTERAGENCY <br /> FEDERAL FUNDS <br /> 4. Contractor and Subcontractor must receive prior approval from COMMERCE for using funds <br /> from this Agreement to enter into a sole source Agreement or an Agreement where only one <br /> bid or proposal is received when value of this Agreement is expected to exceed $5,000. <br /> Prior approval requests shall include a copy of proposed contracts and any related <br /> procurement documents and justification for non-competitive procurement, if applicable. <br /> 19. PAYMENT TO CONSULTANTS <br /> Use of EPA funds in the salary rate (excluding overhead)paid to individual consultants retained by <br /> Contractor or by Contractor's subcontractors shall be limited to the maximum daily rate for Level IV of <br /> the Executive Schedule (formerly GS-18), to be adjusted annually. This limit applies to consultation <br /> services of designated individuals with specialized skills who are paid at a daily or hourly rate. As of <br /> January 1, 2010, the limit is $596.00 per day or$74.50 per hour. This rate does not include <br /> transportation and subsistence costs for travel performed.(the Contractor will pay these in accordance <br /> with their normal travel reimbursement practices). <br /> Subagreements with firms for services which are awarded using the procurement requirements in 40 <br /> CFR Parts 30 or 31, as applicable, are not affected by this limitation unless the terms of the contract <br /> provide the Contractor with responsibility for the selection, direction, and control of the individuals <br /> who will be providing services under the contract at an hourly or daily rate of compensation. See 40 <br /> CFR 30.27(b) or 40 CFR 31.36(j), as application, for additional information. <br /> 20. RECAPTURE <br /> In the event that the Contractor fails to perform this Agreement in accordance with state laws, federal <br /> laws, and/or the provisions of this Agreement, COMMERCE reserves the right to recapture funds in <br /> an amount to compensate COMMERCE for the noncompliance in addition to any other remedies <br /> available at law or in equity. <br /> 21. RECORDS MAINTENANCE <br /> The Contractor shall maintain all books, records, documents,data and other evidence relating to this <br /> Agreement and performance of the services described herein, including but not limited to accounting <br /> procedures and practices which sufficiently and properly reflect all direct and indirect costs of any <br /> nature expended in the performance of this Agreement. Contractor shall retain such records for a <br /> period of six years following the date of final payment. <br /> If any litigation, claim or audit is started before the expiration of the six(6) year period, the records <br /> shall be retained until all litigation, claims, or audit findings involving the records have been finally <br /> resolved. <br /> 22. SAVINGS <br /> In the event funding from state, federal, or other sources is withdrawn, reduced, or limited in any way <br /> after the effective date of this Agreement and prior to normal completion, COMMERCE may terminate <br /> the Agreement under the"Termination for Convenience"clause, without the ten calendar day notice <br /> requirement. In lieu of termination, the Agreement may be amended to reflect the new funding <br /> limitations and conditions. <br /> 23. SEVERABILITY <br /> If any provision of this Agreement or any provision of any document incorporated by reference shall <br /> be held invalid, such invalidity shall not affect the other provisions of this Agreement that can be given <br /> effect without the invalid provision, if such remainder conforms to the requirements of law and the <br /> fundamental purpose of this Agreement and to this end the provisions of this Agreement are declared <br /> to be severable. <br /> 16 22 <br />
