• <br /> EXHIBIT A <br /> AMENDMENT TO LEASE <br /> THIS AMENDMENT TO LEASE (the "Amendment to Lease") , made as <br /> of the 30th day of June, 1993, by and between the City of <br /> Everett, a municipal corporation duly formed and existing under <br /> the laws of the State of Washington ("City") , and Colby Square <br /> Partners, L.P. , a Washington limited partnership ("Lessor") ; <br /> WITNESSETH: <br /> WHEREAS, Lessor owns certain real property located in the <br /> City of Everett and legally described on Exhibit A attached <br /> hereto and by this reference incorporated herein (the "Land") ; <br /> and <br /> WHEREAS, Lessor has constructed a community theater (the <br /> "Improvements") on the Land in accordance with a Construction <br /> Contract entered into by the City and Lessor dated November 15, <br /> 1991 (the "Construction Contract" ) ; and <br /> WHEREAS, the City and Lessor entered into a Lease (with <br /> option to purchase) , dated November 15, 1991 (the "Original <br /> Lease, " which together with the Amendment to Lease are <br /> collectively referred to herein as the "Lease") ; and <br /> WHEREAS, pursuant to the Construction Contract and the <br /> Original Lease, the City and Lessor have agreed that, following <br /> completion of construction of the Improvements, Lessor would <br /> lease the Land and the Improvements (collectively, the "Leased <br /> Premises") to the City in accordance with Chapter 35. 42 RCW; and <br /> WHEREAS, the City and the Lessor entered into a Syndication <br /> Agreement, dated December 19, 1991 (the "Syndication Agreement" ) , <br /> which provides for the issuance of certificates of participation <br /> in the City' s payments under the Lease and for the selection of <br /> an underwriter therefor by a public bid process; and <br /> WHEREAS, on June 10, 1993, substantial completion of the <br /> Improvements occurred; and <br /> WHEREAS, the Construction Contract and the Syndication <br /> Agreement contemplate that, following substantial completion of <br /> the Improvements the City shall provide for the takeout financing <br /> of Lessor' s interests in the Lease and the Leased Premises; and <br /> WHEREAS, a competitive solicitation of bids for the <br /> acquisition of Lessor' s interests in the Lease and the Leased <br /> Premises has been conducted, in accordance with the Syndication <br />
