• <br /> • <br /> list items for the Improvements, and the City may <br /> require Lessor to deposit a reasonable portion of the <br /> Acquisition Price in escrow as security for completion <br /> of the punch-list items . <br /> 19. 3 Obligations Not Severable. The obligations <br /> of Lessor under this Article XIX are integral to this <br /> Lease and may not be severed herefrom without <br /> invalidating the entire Lease. The City shall have the <br /> right in addition and without prejudice to any other <br /> rights hereunder, to demand and have specific <br /> performance of Lessor' s obligation to assign all its <br /> right, title and interest in the Lease and Improvements <br /> (except for Lessor' s rights and obligations under <br /> Article VIII above) . <br /> Section 6. Completing the Lease Payment Schedules of the <br /> Lease. In accordance with the provisions of Section 4 . 1 of the <br /> Original Lease, Exhibits B-1 and B-2 shall be completed in the <br /> forms attached hereto as Exhibit B-1 and B-2, setting forth the <br /> Payment Obligation Commencement Date, the principal and interest <br /> components of the Lease Payments, and such other terms of the <br /> Lease as are specified therein. <br /> Section 7 . Partial Invalidity. If any term, covenant or <br /> condition of this Amendment to Lease or the application thereof <br /> to any person or circumstance shall, to any extent, be invalid or <br /> unenforceable, the remainder of this Lease, or the application of <br /> such term, covenant or condition to persons or circumstances <br /> other than those as to which it is held invalid or unenforceable, <br /> shall not be affected thereby and each term, covenant or <br /> condition of this Lease shall be valid and be enforced to the <br /> fullest extent permitted by law. <br /> Section 8 . Representations of the City. The City <br /> represents and warrants that all acts, conditions and things <br /> required by the Constitution and statutes of the State of <br /> Washington and by the charter, ordinances and resolutions of the <br /> City, to exist, to have happened, been done and performed <br /> precedent to and in the authorization by the City of the Original <br /> Lease and this Amendment to Lease have happened, been done and <br /> performed and that the City' s entering into the Original Lease <br /> and this Amendment to Lease does not violate any constitutional, <br /> statutory or other limitation upon the amount of indebtedness <br /> that the City may incur. <br /> Section 9. Governing Law. This Amendment to Lease and the <br /> rights of the parties hereto shall be governed and construed in <br /> accordance with the laws of the State of Washington. <br /> -7- D0T048.DOC 93/06/15 <br />
