9 <br /> AMENDMENT NO. 3 <br /> TO THE PROFESSIONAL SERVICES AGREEMENT <br /> BETWEEN <br /> • <br /> THE CITY OF EVERETT <br /> AND <br /> HWA GeoSciences, Inc. <br /> WHEREAS, HWA GeoSciences, Inc. and the City entered into an Agreement dated February 7,2005 <br /> ("Agreement")to provide environmental and other consulting services to the City related to the Everett <br /> Landfill; and <br /> WHEREAS, the City continues to need environmental monitoring and other environmental consulting <br /> services related to the Everett Landfill to assure our continued compliance with various regulatory <br /> requirements and the Department of Ecology's Consent Decree; and <br /> WHEREAS, the City and HWA GeoSciences, Inc., agree to amend their Agreement to: (a)provide an <br /> additional scope of consulting services related to monitor landfill gas probes and groundwater <br /> monitoring wells to properly monitor the former landfill site for a five year period; and(b) increase the <br /> maximum compensation by an additional $225,900 from the current contract level of$387,645 to <br /> $613,545; <br /> NOW THEREFORE, the City of Everett and HWA GeoSciences, Inc., agree to amend and modify the <br /> previously amended Agreement as follows: <br /> 1. The Scope of Work described in Exhibit A of the Agreement is modified per the Attached new <br /> Exhibit A, Scope of Work for Amendment No. 3: <br /> 2. Paragraph 3, Time of Beginning and Completion of Performance, is modified to read as <br /> follows: <br /> "This Agreement shall commence as of the date of execution of this Agreement and shall be <br /> completed by December 31,2016. <br /> 3. Paragraph 4(D), Compensation, is modified to read as follows: <br /> "D. Total compensation, including all services and expenses, shall not exceed a <br /> maximum of$613,545." <br /> 4. The Schedule of Charges per the modified Exhibit B for Amendment No. 3 Compensation, <br /> and shall apply to all work performed under this agreement: <br /> 5.
