7 <br /> AMENDMENT NO.1 TO PROFESSIONAL SERVICES AGREEMENT BETWEEN <br /> THE CITY OF EVERETT AND LANDAU ASSOCIATES,INC <br /> The City and Landau Associates,Inc agree to amend and modify their professional services <br /> agreement dated May 18,2009(the"Agreement")as follows: <br /> WHEREAS,Landau Associates,Inc(`Service Provider")and the City entered into an agreement <br /> dated May 18,2009 ("Agreement")to provide design and support services for the disposal of <br /> lead-containing debris,recycling of lead,facility upgrades and operation and maintenance for the • <br /> Police Department Firing Range;and <br /> WHEREAS,the City and the Service Provider desire to amend the Agreement for the purpose of <br /> extending the time for completion of unfinished tasks; <br /> NOW THEREFORE, the City of Everett and the Service Provider agree,to amend and modify <br /> the Agreement as follows: <br /> 1. Section 3 of the Agreement is modified to read as follows: <br /> Time of Beginning and Completion of Performance.This agreement shall <br /> commence as of the date of execution of this Agreement.Tasks ' 3 shall be <br /> completed by September 31,2009 and Tasks'1 and 5 shall be completed by May <br /> 31,2010.All Tasks described in the Scope of Work shall be completed by <br /> December 31,2011. <br /> 2. Regardless of the date(s)on which this Amendment No. 1 is signed by the parties,the <br /> parties agree that the Agreement did not expire on May 31,2010.The parties agree <br /> that the Agreement has been continuously in effect since May 18,2009. <br /> 3.
