dependent upon the pricing of the issue and the completion of the underwriting agreement, such as offering prices, interest rates, selling compensation, aggregate principal amount, principal amount per maturity, delivery dates, and other terms of such Bonds dependent on the foregoing matters . The City agrees to cooperate with the purchaser to deliver or cause to be delivered, within seven business days from the date of the sale of such Bonds and in sufficient time to accompany any confirmation that requests payment from any customer of the Purchaser for the 1992 Bonds, copies of a final official statement in sufficient quantity to comply with paragraph (b) (4) of Rule 15c2-12 and the rules of the Municipal Securities Rule-making Board. The City shall not be required to issue either the Refunding Bonds or the Project Bonds if the Finance Director determines that market conditions are unfavorable . In such event, the sale of either or both such series of Bonds may be canceled or deferred, which action shall be subject to the approval of the Council by Resolution. Section 21 . Temporary Bond. Until the definitive Project - Bonds and Refunding Bonds are prepared, the City may execute a temporary bond which shall be typewritten, and which shall be delivered to the purchaser or purchasers of such Bonds in lieu of definitive Bonds, but subject to the same provisions, limitations and conditions .
