solidation to which any Trustee hereunder shall be a party, shall <br /> be the successor Trustee under this Agreement, without the execu- <br /> tion or filing of any paper or any further act on the part of the <br /> parties hereto, anything herein to the contrary notwithstanding. <br /> Notice of such merger or consolidation shall be given to the City. <br /> If such corporation fails to be eligible to serve as Trustee under <br /> Section 6 . 11, then the Trustee must comply with the resignation <br /> procedures set forth in Section 6. 08 . <br /> ARTICLE VII <br /> ACTS OF OWNERS: EVIDENCE OF OWNERSHIP OF CERTIFICATES <br /> Section 7 . 01. Actions of Owners; Evidence of Ownership. <br /> Any action to be taken by Owners may be evidenced by one or more <br /> concurrent written instruments of similar tenor signed or executed <br /> by such Owners in person or by an agent appointed in writing. The <br /> fact and date of the execution by any person of any such instru- <br /> ments may be proved by acknowledgment before a notary public or <br /> other officer empowered to take acknowledgments or by an affidavit <br /> of a witness to such execution. Any action by the Owner of any <br /> Certificate shall bind all future Owners of the same Certificate <br /> in respect of anything done or suffered by the City or the Trustee <br /> in pursuance thereof. <br /> ARTICLE VIII <br /> AMENDMENTS AND SUPPLEMENTS <br /> Section 8. 01. Amendments and Supplements Without Owners' <br /> Consent. This Agreement may be amended or supplemented at any time <br /> and from time to time, without notice to or the consent of the <br /> Owners by delivery to the Trust Agreement of an amendment requested <br /> by Special Counsel filed with the Trustee, for the purpose of <br /> curing any ambiguity or curing, correcting or supplementing any <br /> defective provision of this Agreement in such manner as shall not <br /> be inconsistent with this Agreement and shall not impair the <br /> security hereof or adversely affect the Owners. As a condition of <br /> its effectiveness, any such request shall be accompanied by (1) a <br /> consent by the City to such, which consent shall not be <br /> unreasonably withheld; and (2) an opinion of Special Counsel that <br /> such change shall not impair the tax-exempt status of the interest <br /> component of the Lease Payments, and is not in violation of any <br /> law; provided further, that no such change may adversely or <br /> materially impair the City's obligations under the Lease. <br /> Section 8 . 02 . Amendments with Owners' Consent.
