• <br /> Owners the various funds and accounts established in the Trust <br /> Agreement. <br /> Copies of the Trust Agreement, Lease, Ground Lease, and <br /> Assignment and Deed are on file at the principal offices of the <br /> Trustee and at the City of Everett, Washington. Reference to the <br /> Trust Agreement, Lease, Assignment and Deed and any and all <br /> amendments thereto is made for a description of the covenants of <br /> the City securing the Lease Payments, the nature, extent and manner <br /> of enforcement of such covenants, the rights and remedies of the <br /> Registered Owners of the Certificates with respect thereto and the <br /> other terms and conditions upon which the Certificates are deliv- <br /> ered thereunder. <br /> The City has reserved the right to prepay the principal <br /> components of the Lease Payments maturing on and after March 1, <br /> 2003 , in whole or in part (in inverse order of maturity and by lot <br /> within a maturity) , on any date on and after March 1, 2002 , at a <br /> price of par (expressed as a percentage of principal component of <br /> the Lease Payment) , plus accrued interest to the date of <br /> prepayment. <br /> Notice of such prepayment shall be given by first class mail <br /> no more than 45 nor less than 30 days prior to the date of <br /> prepayment. <br /> To the extent and in the manner permitted by the terms of the <br /> Trust Agreement, the provisions of the Trust Agreement may be <br /> amended by the parties thereto with the written consent of the <br /> Owners of Certificates representing at least a majority in <br /> principal amount of the Lease Payments then Outstanding. <br /> The ownership of this Certificate must be registered upon the <br /> books of the Trustee as provided in the Trust Agreement. The <br /> Trustee may treat the registered Owner hereof as the absolute Owner <br /> hereof for all purposes, and the Trustee shall not be affected by <br /> any notice to the contrary. <br /> The following abbreviations, when used in the inscription on <br /> the face of the within Certificate, shall be construed as though <br /> they were written out in full according to applicable laws or <br /> regulations. <br /> TEN COM - as tenants in common <br /> TEN ENT - as tenants by the entireties <br /> JT TEN - as joint tenants with right of survivorship and <br /> not as tenants in common <br /> C-29 KR173 92/01/27 <br />
