The terms of this Section XIV.V. <br /> will survive the termination of this PFA. <br /> W. Signatures. This PFA may be executed on separate originals or copies and shall be valid as if all <br /> parties had executed the same document. Facsimile or electronic signatures shall be valid as written <br /> signatures. Foundation will maintain all signed documents for three (3)years after the termination <br /> of this PFA and will provide signature pages to all parties upon full execution. <br /> XV. INDEPENDENT SUB-RECIPIENT <br /> A. Relationship: <br /> 1. The relationship of all the parties to each other will be that of Independent Contractors and no <br /> principal-agent relationship or employer-employee relationship is contemplated or created by the <br /> parties to this PFA. Nothing in this PFA shall be construed as creating an agency,partnership, <br /> joint venture,or franchise relationship between any the parties. No party shall have any right or <br /> authority to assume or create any obligation, commitment or responsibility for or on behalf of <br /> the others except as the other may expressly authorize in writing. No party shall be eligible to <br /> participate in another's benefit program. <br /> 2. Sub-recipient shall be solely responsible for selecting, supervising, and compensating <br /> individuals employed pursuant to the terms of this PFA. <br /> 3.
