10 <br /> Each party to this Agreement shall save, indemnify, defend and hold every other party <br /> and its agents, employees and contractors harmless from and against any and all costs, <br /> liabilities, suits,losses, damages, claims, expenses,penalties or charges, including, <br /> without limitation,reasonable attorneys' fees and disbursements,that the other parties <br /> may incur or pay out by reason of any accidents, damages or injuries to persons or <br /> property, including claims by third parties or employees against which the parties would <br /> otherwise be immune under Title 51 RCW or other law, arising from the performance of <br /> this Agreement,but only to the extent the same are caused by any negligent or wrongful <br /> act of the indemnifying party. <br /> The provisions of this Section 9.0 shall survive the expiration or earlier termination of <br /> this Agreement. <br /> 10.0 WITHDRAWAL <br /> • <br /> Any PARTICIPATING JURISDICTION may withdraw from participation in this <br /> Agreement effective January 1st for any reason or for no reason by providing written <br /> notice of such withdrawal to all parties no later than November 1st of the preceding <br /> calendar year. Withdrawal shall not affect the rights of the PARTICIPATING <br /> JURISDICTIONS under any other section or paragraph herein. <br /> If after November 1st there are fewer than five (5) PARTICIPATING JURISDICTIONS <br /> that have not given notice of withdrawal, then the PARTICIPATING JURISDICTIONS <br /> that have not given notice of withdrawal shall meet nolater than November 15th. At the <br /> meeting, these PARTICIPATING JURISDICTIONS will have another option to <br /> withdraw from the Agreement effective January 1st, which may be exercised by giving <br /> notice of withdrawal at the meeting. If by the end of the meeting no PARTICIPATING <br /> JURISDICTION desires to remain in the Agreement, then this Agreement may be <br /> terminated effective January 1st by delivery of written notice to DAWSON PLACE no <br /> later than December 1st. <br /> 11.0 INSURANCE REQUIREMENTS <br /> DAWSON PLACE shall obtain and maintain continuously during the Term of this <br /> Agreement the following insurance: <br /> Commercial General Liability Insurance with a minimum limit of$1,000,000 per <br /> occurrence, $2,000,000 general aggregate, and endorsed to include all <br /> PARTICIPATING JURISDICTIONS and their officers, elected officials, agents, <br /> and employees as an additional insured with respect to the work performed for the <br /> PARTICIPATING JURISDICTIONS. Insurance shall be written on ISO <br /> occurrence form CG 00 01 or a substitute form providing equivalent coverage. <br /> Workers' Compensation Coverage as required by the Industrial Insurance laws of <br /> the State of Washington. DAWSON PLACE'S obligation shall extend to all <br /> personnel performing work onbehalf of DAWSON PLACE pursuant to this <br /> 7 <br /> 38 <br />
