i <br /> sufficient for one Academic Quarter of reasonably anticipated card distribution and <br /> replacement needs. <br /> 11.1.5 All ORCA Cards purchased by the Institutions under this Agreement shall be <br /> purchased at the applicable prices specified in Attachment 2. <br /> 11.2 Receipt and Ownership of ORCA Cards. Upon actual or constructive receipt of the <br /> ORCA Cards they have ordered, the Institutions shall become the owner of the ORCA <br /> Cards. The Institutions shall be deemed to have constructively received all ordered <br /> ORCA Cards unless they notify the Lead Agency of any non-delivery or incorrect <br /> delivery within thirty (30) days after the date specified by the Lead Agency for delivery. If <br /> the Institution notifies the Lead Agency that it has not received the ordered cards, the <br /> Lead Agency will ship a replacement order at no additional cost to the Institution. If the <br /> Institution subsequently receives the cards reported as missing, the Institution is <br /> responsible for returning them to the Lead Agency. <br /> 11.3 Storage and Risk of Loss, The Institutions are responsible for the storage, distribution <br /> and use of the ORCA Cards issued to them. After actual receipt, the Institutions bear the <br /> sole risk of any loss, damage, theft or unauthorized use of each one of their cards, <br /> whether such card was held in their inventory or had been distributed for use. The <br /> Institutions may initiate a Card Block or a Product.Block, or deactivate the card via the <br /> ORCA Whitelist process, to stop unauthorized use of a card. The Parties understand and <br /> agree that the ORCA system does not allow for instantaneous implementation of a card <br /> move between groups, Card Block, Product Block or deactivation via the ORCA Whitelist <br /> process. The Parties agree to meet and discuss the potential need for adjustments, if <br /> any, to trip counts to address lags in the implementation of a card move between groups, <br /> Card Blocks or Product Blocks, or removal of cards or Card Groups from the ORCA <br /> Whitelist. <br /> 11.E U-PASS for Temporary Faculty/Staff. Prior to December 31, 2011, the University will <br /> provide standard ORCA Cards to temporary Eligible Faculty or Staff members who elect <br /> to participate and pay the required fee. The University shall distribute such cards <br /> bearing a printed validity period of October through December 2011. Beginning in <br /> January 2012, the University will issue a transportation benefit-only University ID card to <br /> temporary Faculty and Staff that elect to participate in the U-PASS program. These will <br /> be printed by the University on the ORCA UW Card stock, and final design of the card <br /> will be provided to the Participating Agencies. <br /> 11.5 Distribution of ORCA Cards. The Institutions are responsible for distributing ORCA <br /> Cards for use by their Eligible Students and Eligible Faculty and Staff. The Institutions <br /> remain the owner of all ORCA Cards they distribute but recognize that a Cardholder may <br /> also purchase and load individual ORCA Products on an ORCA Card. The Institutions <br /> retain the right to initiate a Card Block for ORCA Cards that are in the possession of <br /> current or former students, faculty, or staff who are deemed to be no longer eligible <br /> and/or no longer associated with the Institution. The Institutions will notify their <br /> respective ORCA Cardholders of the UW Terms of Use via administrative policy, posting <br /> on their respective websites, written materials provided at the time they distribute cards <br /> to Cardholders, or other reasonable methods as agreed to by the Participating Agencies <br /> and the Institutions. <br /> 11.6 Institution Access to Personal Data. If an Institution collects any personally identifying <br /> information about individuals to whom it has distributed ORCA Cards, the Institution is <br /> solely responsible for its collection, use, storage and for the disclosure or non-disclosure <br /> of such information. <br /> 57 Page 12 of 44 Final, October 2011 <br /> U-PASS Agreement <br />
