CONTRACT FOR ECONOMIC ALLIANCE SNOHOMISH COUNTY SERVICES <br /> The City of Everett <br /> This AGREEMENT is between The City of Everett (the City) and Economic Alliance <br /> Snohomish County. (the Contractor), a nonprofit corporation registered in the State of <br /> Washington. WITNESSETH, that the parties agree as follows: <br /> 1. Scope of Service to be performed by Contractor. The purpose of this Agreement is to <br /> provide economic development and technical assistance that stimulates economic growth <br /> through Economic Alliance Snohomish County, Inc. During 2012, the Contractor will provide the <br /> City with the deliverables outlined in Appendix A, which is attached hereto and by this reference <br /> made a part of this agreement. Unless agreed otherwise in writing by the Contractor and the <br /> Mayor of the City, Appendix A will remain unchanged while this Agreement is in effect. <br /> 2. Term. The term of this Agreement is from January 1, 2012 to December 31, 2012. <br /> Unless either party delivers notice of termination to the other party no later than 30 days before <br /> the expiration of a term, this Agreement will automatically renew for successive one-year <br /> extension terms until December 31, 2017, on which date this Agreement terminates. <br /> 3. Direction and Control. Contractor agrees that Contractor will perform the services under <br /> this agreement as an independent contractor and not as an agent, employee, or servant of the <br /> City. The parties agree that the Contractor is not entitled to any benefits or rights enjoyed by <br /> employees of the City. Contractor specifically has the right to direct and control contractor's <br /> own activities in providing the agreed services in accordance with the specifications set out in <br /> this agreement. The City shall only have the right to ensure performance. <br /> 4. Compensation. Compensation due the Contractor by the City for the services set forth <br /> in Appendix A shall be $75,000 per calendar year, unless changed by amendment to this <br /> Agreement in accordance with Section 8 below. Disbursements shall be in accord with the <br /> provisions of Section 6 of this Agreement. <br /> 5. Progress Reports. The Contractor will provide the City with an annual report, delivered <br /> to the City no later than December 15 of each year this Agreement is in effect. For the <br /> purposes of this section, "delivery" shall mean either physical delivery to The City by the due <br /> date or a postmark showing the report or proposed budget was mailed by no later than the due <br /> date. <br /> 6. Invoicing. The Contractor will invoice the City for$75,000 at the beginning of each <br /> calendar year this Agreement is in effect and said invoice will be paid within 30 days after <br /> receipt of invoice. <br /> 7. Ownership. All reports, plans, specifications and data and documents produced in the <br /> performance of this work shall become the property of the City. <br /> 8. Changes. No changes or additions shall be made in this contract except as agreed to by <br /> both parties and reduced to writing and executed with the same formalities as are required for <br /> the execution of this agreement. The Contractor and the Mayor of the City may change <br /> Appendix A without such formalities, so long as the changes to Appendix A are in writing. <br /> 2 <br />
