6.4 Compliance with Laws. City shall at all times from and
<br /> after the Payment Obligation Commencement Date, at City's own cost
<br /> and expense, perform and comply with all laws, rules, orders,
<br /> ordinances, regulations and requirements now or hereafter enacted
<br /> or promulgated (including, without limitation, all zoning,
<br /> pollution and environmental requirements, hereinafter referred to
<br /> as "Environmental Requirements") , of every government and
<br /> municipality having jurisdiction over the Leased Premises and of
<br /> any agency thereof, relating to the Leased Premises, or the
<br /> Improvements thereon, or the facilities or equipment thereon or
<br /> therein, or the streets, sidewalks, curbs and gutters adjoining
<br /> the Leased Premises, or the use or operation of the Leased
<br /> Premises, whether or not such laws, rules, orders, ordinances,
<br /> regulations or requirements so involved shall necessitate
<br /> structural changes, improvements, interference with use and
<br /> enjoyment of the Leased Premises, replacements or repairs,
<br /> ordinary, and City shall so perform and comply, whether or not such
<br /> laws, rules, orders, ordinances, regulations or requirements shall
<br /> now exist or shall hereafter be enacted or promulgated, and whether
<br /> or not such laws, rules, orders, ordinances, regulations or
<br /> requirements can be said to be within the present contemplation of
<br /> the parties hereto.
<br /> 6. 5 City's Right to Contest. City shall have the right to
<br /> contest, by appropriate legal proceedings, any tax, charge, levy,
<br /> assessment, lien or other encumbrance, and/or any law, rule, order,
<br /> ordinance, regulation or other governmental requirement affecting
<br /> the Leased Premises, and to postpone payment of or compliance with
<br /> the same during the pendency of such contest, provided that:
<br /> (i) City shall not postpone the payment of any such tax, charge,
<br /> levy, assessment, lien or other encumbrance for such length of time
<br /> as shall permit the Leased Premises, or any lien thereon created
<br /> by such item being contested, to be sold by federal, state, county
<br /> or municipal authority for the non-payment thereof; (ii) City shall
<br /> not postpone compliance with any such law, rule, order, ordinance,
<br /> regulation or other governmental requirement if Lessor will thereby
<br /> be subject to criminal prosecution, or if any municipal or other
<br /> governmental authority shall commence a process according to
<br /> applicable law to carry out any act to comply with the same or to
<br /> foreclose or sell any lien affecting all or part of the Leased
<br /> Premises which shall have arisen by reason of such postponement or
<br /> failure of compliance; (iii) City shall proceed diligently and in
<br /> good faith to resolve such contest; (iv) such contest shall be in
<br /> compliance with all laws, rules, orders, ordinances, regulations
<br /> or other governmental requirements; and (v) City shall not postpone
<br /> compliance with any such laws, rules, orders, ordinances,
<br /> regulations or other governmental requirements if the same shall
<br /> invalidate any insurance required by this Lease.
