ARTICLE XXII: MISCELLANEOUS <br /> 22 . 1 Notices. Any notices required in accordance with any <br /> of the provisions herein shall be sent by registered or certified <br /> mail addressed to Lessor or City, respectively as follows: <br /> City: City of Everett <br /> 3002 Wetmore <br /> Everett, Washington 98201 <br /> Attention: City Attorney <br /> Lessor: Lumpkin, Inc. <br /> 1627 Eastlake Avenue <br /> Seattle, Washington 98102 <br /> Attention: President <br /> or at such other place as Lessor or City may in writing direct. <br /> In the event that Lessor's interests hereunder are assigned in <br /> trust to a trustee, then requirements that Lessor be notified shall <br /> be met by notice to such trustee meeting the requirements of this <br /> section. All notices shall be deemed effective upon receipt, <br /> refusal of delivery or attempted delivery. <br /> 22 . 2 No Joint Venture. It is not intended by this Lease to, <br /> and nothing contained in this Lease shall, create any partnership, <br /> joint venture or other arrangement between Lessor and City. No <br /> term or provision of this Lease is intended to be, or shall be, for <br /> the benefit of any person, firm, organization or corporation shall <br /> have any right or cause of action hereunder. <br /> 22 . 3 Interest. If City shall fail to pay, when the same is <br /> due and payable, any Lease Payment set forth in Article III, or <br /> any Additional Rent or additional sums of money to be paid by City <br /> under this Lease, such unpaid amounts shall bear interest from the <br /> due date thereof until paid at the rate of twelve percent (12%) per <br /> annum. <br /> 22 . 4 Entire Agreement. This Lease, any exhibits or <br /> attachments hereto and forming a part hereof, the Construction <br /> Contract and the Ground Lease set forth the entire agreement of <br /> Lessor and City concerning the Leased Premises, and there are no <br /> other agreements or understandings, oral or written, between Lessor <br /> and City. In the Event of a conflict among the Construction <br /> Contract, the Lease, and the Ground Lease, this Lease shall govern, <br /> followed by the_ Ground Lease, followed by the Construction <br /> Contract. Any subsequent modification of this Lease shall be <br /> binding upon Lessor and City only if reduced to writing and signed <br /> by the party intended to be bound. <br /> -24- D0T439 91/09/24 <br />
