I <br />maturity date of such Capital Appreciation Bonds. If so provided in the ordinance authorizing <br />their issuance, Future Parity Bonds may be deemed to be Capital Appreciation Bonds for only a <br />portion of their term. On the date on which Future Parity Bonds no longer are Capital <br />Appreciation Bonds, they shall be deemed outstanding in a principal amount equal to their <br />Accreted Value. <br />Chief Financial Offcer means the duly qualified, appointed and acting Chief <br />Administrative Assistant -Chief Financial Officer of the City or any other officer who succeeds to <br />the duties now delegated to that office. <br />City means the City of Everett, a municipal corporation. duly organized and existing <br />under the laws of the State of Washington. <br />Code means the federal Internal Revenue Code of 1986, as amended, and applicable <br />regulations. <br />Commission means the United States Securities and Exchange Commission. <br />Consultant means at any time an independent municipal financial consultant appointed <br />by the City to perform the duties of the Consultant as required by this ordinance. For the <br />purposes of delivering any certificate required by 9 hereof and making the calculation required <br />by Section 9 hereof, the term Consultant shall also include any independent public accounting <br />firm or engineer appointed by the City to make such calculation or to provide such certificate. <br />Continuing Disclosure Agreement means the agreement entered into by the Chief <br />Financial Officer pursuant to Section 17 of this ordinance in order to permit the successful bidder <br />for the Bonds to comply with the Rule. <br />Cost of Issuance Agreenzent means the agreement of that name, to be entered into by the <br />City and the Escrow Agent, providing for the payment of certain costs of issuance with respect to <br />the issuance of the Bonds, substantially in the form attached hereto as Exhibit B. <br />9-6- PA20287 CMM20287_9RC 01/02113 <br />
