ARTICLE VI : TAXES <br /> Taxes and Assessments. As additional rent, Lessee covenants <br /> and agrees to pay all taxes including any and all real estate <br /> taxes and assessments levied upon the Leased Premises that become <br /> due and payable prior to final acceptance of the Improvements by <br /> the City under the Lease prior to delinquency, provided that if <br /> any such taxes or assessments may be paid in installments without <br /> penalty Lessee shall have the right to pay any such taxes or <br /> assessments in installments; provided, however, that from and <br /> after acceptance by the City of the Improvements, the City shall <br /> be liable as Lessee under the Lease for property and all other <br /> taxes due on the Improvements payable after commencement of the <br /> lease term under the Lease. <br /> ARTICLE VII : UTILITIES <br /> Utility Charges. As additional rent, Lessee shall be solely <br /> responsible for and shall promptly pay all charges for heat, <br /> water, light, gas, electricity, sewer and garbage or any other <br /> utility now or hereafter used or consumed on the Leased Premises. <br /> In no event shall City be liable for an interruption or failure <br /> in the supply of any such utilities to the Leased Premises. <br /> ARTICLE VIII: ALTERATIONS <br /> Following completion of the Improvements, Lessee shall not <br /> make any alterations, additions or improvements to the Leased <br /> Premises without the prior written consent of City. <br /> ARTICLE IX: INSURANCE AND INDEMNITY <br /> Lessee shall , at its sole cost and expense, procure and <br /> maintain in force during the term of this Ground Lease all <br /> liability and other insurance as required by the Construction <br /> Contract, and shall indemnify the City as required by the Con- <br /> struction Contract. <br /> ARTICLE X: ASSIGNMENT <br /> Subject to the provisions of Article XVI, Lessee shall not <br /> assign or transfer this Ground Lease or any interest therein, nor <br /> shall this Ground Lease or any interest thereunder be assignable <br /> or transferable by operation of law or by any process or proceed- <br /> ing of any court, or otherwise, without the written consent of <br /> City first had and obtained, which consent shall not be un- <br /> reasonably withheld. <br /> -5- DRS231 90/12/11 <br />
