DR S462 <br /> ARTICLE XXII: MISCELLANEOUS <br /> 22 . 1 Notices. Any notices required in accordance with any <br /> of the provisions herein shall be sent by registered or certified <br /> mail addressed to Lessor or City, respectively as follows: <br /> City: City of Everett <br /> 3002 Wetmore <br /> Everett, Washington 98201 <br /> Attention: City Attorney <br /> Lessor: Lumpkin, Inc. <br /> 1627 Eastlake Avenue <br /> Seattle, Washington 98102 <br /> Attention: President <br /> or at such other place as Lessor or City may in writing direct. <br /> All notices shall be deemed effective upon receipt, refusal of <br /> delivery or attempted delivery. <br /> 22 . 2 No Joint Venture. It is not intended by this Lease <br /> to, and nothing contained in this Lease shall, create any <br /> partnership, joint venture or other arrangement between Lessor <br /> and City. No term or provision of this Lease is intended to be, <br /> or shall be, for the benefit of any person, firm, organization or <br /> corporation shall have any right or cause of action hereunder. <br /> 22 . 3 Interest. If City shall fail to pay, when the same is <br /> due and payable, any Lease Payment set forth in Article III, or <br /> any Additional Rent or additional sums of money to be paid by <br /> City under this Lease, such unpaid amounts shall bear interest <br /> from the due date thereof until paid at the rate of twelve <br /> percent (12%) per annum. <br /> 22 . 4 Entire Agreement. This Lease, any exhibits or <br /> attachments hereto and forming a part hereof, the Construction <br /> Contract and the Ground Lease set forth the entire agreement of <br /> Lessor and City concerning the Leased Premises, and there are no <br /> other agreements or understandings, oral or written, between <br /> Lessor and City. Any subsequent modification of this Lease shall <br /> be binding upon Lessor and City only if reduced to writing and <br /> signed by the party intended to be bound. <br /> 22 . 5 Registration. Lessor agrees to maintain books setting <br /> forth complete records of any and all transfers and assignments <br /> of any interests in this Lease. <br /> 22 . 6 Partial Invalidity. If any term, covenant or <br /> condition of this Lease or the application thereof to any person <br /> or circumstance shall, to any extent, be invalid or <br /> unenforceable, the remainder of this Lease, or the application of <br /> B-22 <br />
