CITY OF EVERETT, WASHINGTON <br /> CONTRACT <br /> THIS CONTRACT is made and entered into this 13tnday of r'np'i , 2017, by and between the City <br /> of Everett, Washington, a municipal corporation existing under the laws of the State of Washington, hereinafter <br /> called the "City," and <br /> GRA1-4 rr1 Co NS"fRvL'fin Co tv Al 44 5 a <br /> £f'L ,2Nlc, CoA oo(Z_A-1) , hereinafter called the"Contractor." <br /> I In consideration of the sums to be paid to it by the City, Contractor hereby covenants and agrees to furnish all <br /> labor, tools, materials, equipment, and supplies required to build and construct in a workmanlike manner the <br /> awork, improvements, and appurtenances in accordance with the Specifications and Plans entitled: "HOT MIX <br /> ASPHALT OVERLAY 2017, W.O. #PW 3642". <br /> 1. Contract Documents. The following documents ("Contract Documents")are incorporated by reference and <br /> are hereby made a part of this Contract: <br /> A. Notice to Contractors <br /> B. Instructions to Bidders (if any) <br /> C. Washington State Department of Transportation Standard Specifications 2016 as modified by all <br /> amendments thereto as of the date of bid opening of this Project ("Standard Specifications"). <br /> D. Special Provisions <br /> E. Plans, Drawings and Project Specifications <br /> F. Addenda(if any) <br /> G. Performance Bond and Payment Bond <br /> 111 H. Contractor's Proposal/Bid (conformed copy dated 4- I`5 ) <br /> I. All provisions required by law whether set forth and reproduced herein or not <br /> I2. Time for Completion. Physical completion shall be within seventy four (74)working days from the date of <br /> written Notice to Proceed. <br /> 3. Contract Amount. The amount of this Contract is 1 5 <br /> ($ ) and is based on the proposal/bid submitted by Contractor dated <br /> IThe basis for final payment will be the actual amount of work performed according to the Contract Documents <br /> and payments,whether partial or final, shall be made as specified therein. <br /> I4. Compliance with Employment and Wage Laws. Contractor agrees to comply with all state and federal <br /> laws relating to the employment of labor and wage rates to be paid. <br /> 1 5. Indemnification. <br /> A. Contractor will defend and indemnify the City from any and all Claims arising out of, in connection with, or <br /> incident to any acts, errors, omissions, or conduct by Contractor relating to, or arising out of its performance of, <br /> Ithis Contract. The Contractor will defend and indemnify the City whether a Claim is asserted directly against <br /> the City, or whether a Claim is asserted indirectly against the City, e.g., a Claim is asserted against someone <br /> else who then seeks contribution or indemnity from the City.
