CITY T-Mobile Site ID:SE01845A Cascade HS North WT Market:PNW City of Everett Site ID:Olympic Tank CITY OF EVERETT COMMUNICATIONS ANTENNA SITE LEASE THIS LEASE ("Lease") made this 4 day of 2017, by and between the CITY OF EVERETT, a municipal corporation of the State of Waington, hereinafter referred to as "Lessor", and T-Mobile West LLC, a Delaware limited liability company, hereinafter referred to as "Lessee". WITNESSETH: WHEREAS, the Lessor is the owner of property used for municipal and utility purposes known as Olympic Tank, a City of Everett owned, above-ground water tank, commonly known as 7410 Olympic Drive, Everett, WA 98203, as described in Exhibit "A", which shall hereinafter be referred to as the "Site" or"Water Tank"; and • WHEREAS,the Lessee desires to lease space at the Site for a telecommunications facility to include antennas on the Water Tank and associated equipment on the Site in accordance with the provisions contained herein; NOW,THEREFORE,the Parties hereto do mutually agree as follows: 1. SITE: Lessor does hereby lease to Lessee and Lessee hereby leases from Lessor, an area of approximately one hundred forty-four (144) square feet of ground space at the Site to serve as space for one equipment shelter,utilities and for associated equipment to support antennas placed on the Water Tank as described in Exhibit"A", attached hereto and incorporated herein by reference and as further depicted in Exhibit "A-1", which is attached hereto and incorporated herein by reference. Lessee's equipment shall remain the exclusive property of Lessee and shall not be considered fixtures. 2. TERM: The Initial Term of this Lease shall be for five (5) years commencing on May 1St, 2017 ("Commencement Date"), and ending on April 30th, 2022, unless otherwise terminated as provided below. As provided in Section 5, Lessee is entitled to extend this Lease for two (2) additional, successive five(5)year terms. 3. USE: The Lessee shall use the Site as follows: i. The Lessee shall install antennas, radios, coax and associated equipment on the existing Water Tank. The Lessee shall install and service its telecommunications facilities on the Site to maintain the integrity and safety of the Site as long as this Lease remains in force. Lessee will retain ownership of and liability for Lessee's equipment at the Site until the expiration or earlier termination of this Lease. Lessee has the right to the nonexclusive use of the access easement,as shown on Exhibit A-1,for the purpose of ingress to and egress from the Site;however, control of any key provided Lessee to said access must be tightly maintained.
