CITY <br /> AGREEMENT TO USE CITY PROPERTY <br /> THIS AGREEMENT (the "Agreement"), between the City of Everett (the "City) and <br /> Compass Group USA, Inc., by and through its Canteen Vending Services Division <br /> ("Canteen"), relates to Canteen placing vending machines on specified City property. <br /> RECITALS <br /> A. The City issued RFP 2016-75 and selected Canteen's proposal as the most <br /> advantageous to the City. <br /> B. Canteen desires to place vending machines as specified in their proposal <br /> on certain City property. <br /> C. The City is willing to grant Canteen authority to use certain City property <br /> for vending machines upon certain terms and conditions. <br /> AGREEMENT <br /> In consideration of monthly payments to the City, the City will allow Canteen to place <br /> vending machines on specified City property upon the following terms and conditions: <br /> Section 1. ALLOWED USE OF CITY PROPERTY. Canteen shall be permitted <br /> to place proposed vending machines in areas specified by the City's agent, identified in <br /> Section 8, at locations specified in Exhibit B. <br /> Section 2. TERM. This Agreement shall be effective on April 1, 2017, and shall <br /> expire on March 31, 2020. <br /> Section 3. RENEWAL. At the City's sole option, this Agreement may be extended <br /> for one additional year, up to two times. If the City elects to exercise its option of <br /> renewal after the initial term, the City will send Canteen written notice of its first renewal <br /> prior to March 1, 2020. If the City elects to exercise its second option of renewal,the <br /> City will send Canteen written notice of its renewal prior to March 1, 2021. If the City <br /> does not exercise its first option to renew for, the City may not exercise its second option <br /> to renew. The City's options to renew in no way affect the City's right to terminate upon <br /> 30-days' notice under Section 7, below. <br /> Section 4. AUTHORIZED USE. Canteen may only use the specified City property <br /> to place vending machines for the purpose of selling food and beverages. Canteen's use <br /> of City property must comply with the following requirements: <br /> A. Customer Service. Canteen acknowledges that providing high quality <br /> and effective customer service is of paramount importance and agrees to comply <br /> page 1 <br />
