Agreement effective on written notice to the City. The City will provide Canteen <br /> employees the necessary access (and if required, necessary security access) and <br /> sufficient time to properly service and maintain the equipment. <br /> C. Guiding Principles. To the extent not inconsistent with the other terms of <br /> this Agreement, Canteen shall attempt to follow the principles identified and <br /> attached hereto as Exhibit A in all actions taken pursuant to this Agreement. <br /> Section 5. MONTHLY FEE. The financial arrangements are set forth in Exhibit B, <br /> which is attached hereto and incorporated herein by reference. Canteen shall pay the City <br /> monthly fees as specified in Exhibit B. Canteen acknowledges that these fees have been <br /> negotiated in good faith and may differ from their proposed fees. Payment must be made <br /> on or before the 10th day of each month. This agreement is subject to leasehold tax and <br /> any leasehold tax is included in the monthly fee. <br /> Section 6. INDEMNIFICATION. Canteen hereby agrees to defend, indemnify and <br /> hold the City harmless from any and all Claims for injury to people or damage to <br /> property arising out of or related to this Agreement. This defense and indemnification <br /> obligation shall survive any termination, revocation or expiration of this Agreement. For <br /> the purpose of this Section 6, the following terms shall have their specified meaning. <br /> "City" means the City, its officers, employees and agents. "Claims"means any loss, <br /> injury, demand, settlement and lawsuit, and further includes any and all reasonable <br /> litigation costs such as attorney's fees, expert fees and costs, and court costs. "Injury to <br /> people" includes, but is not limited to, bodily injury and death. "Damage to property" <br /> includes, but is not limited to damage or injury to the property, any City facilities and any <br /> property owned by third parties. <br /> Section 7. TERMINATION. Either party may terminate this Agreement at any time <br /> upon 30-days written notice to the other party. This right is in addition to any other right <br /> at law or in equity. <br /> Section 8. NOTICE.
