<br /> AXON Forensic Suite Software Appendix
<br /> Use of any of the Axon Forensic Suite Software including Axon Convert, Axon Five and Axon Detect
<br /> (Software) indicates agreement to the terms below. The Software, all executable instructions, images,
<br /> icons, sound, and text incorporated in the Software, is owned by Amped Software SRL. (Amped) and is
<br /> protected by United States copyright laws and international treaty provisions. Except to the extent
<br /> expressly licensed in this Agreement, all rights are reserved to Amped.
<br /> 1. License Grant. Axon grants a non-exclusive, royalty-free, worldwide right and license to use the
<br /> Software,where"use"and"using"in this Agreement mean storing, loading, installing, or executing the
<br /> Software exclusively for data communication with an Amped or an Axon product. This Software may
<br /> be used in a networked environment on computers other than the computer on which the Software is
<br /> installed provided that each execution of the Software is for data communication with an Amped or an
<br /> Axon product. Copies and adaptations of the Software may be made for archival purposes and when
<br /> copying or adaptation is an essential step in the authorized use of the Software provided that the
<br /> Agency retains all copyright, trademark, and proprietary notices in the original Software on all copies
<br /> or adaptations. The Agency may copy the written materials accompanying the Software.
<br /> 2. Definitions. "Amped Software" means the computer software programs available developed by
<br /> Amped and the name of the applications are Amped Five Professional, Amped Five First Responder,
<br /> Amped DVRCONV, and AMPED AUTHENTICATE. "Amped Copyrights" means Amped's copyrights in
<br /> and to Amped Five.
<br /> 3. License Restrictions. The Agency may not use the Software in any manner or for any purpose other
<br /> than as expressly permitted by this Agreement. The Agency may not: (a) modify, alter, tamper with,
<br /> repair, or otherwise create derivative works of the Software; (b) reverse engineer, disassemble, or
<br /> decompile the Software or apply any other process or procedure to derive the source code of the
<br /> Software, or allow any others to do the same; (c) access or use the Software in a way intended to
<br /> avoid incurring fees or exceeding usage limits or quotas; (d)copy the Software in whole or part,except
<br /> as expressly permitted in this Agreement; (e) use trade secret information contained in the Software,
<br /> except as expressly permitted in this Agreement; (f) resell, rent, loan or sublicense the Software; (g)
<br /> access the Software in order to build a competitive product or service or copy any features, functions
<br /> or graphics of the Software; or (h) remove, alter or obscure any confidentiality or proprietary rights
<br /> notices (including copyright and trademark notices) of Amped or Axon licensors on or within the
<br /> Software or any copies of the Software. All licenses granted to the Agency in this Agreement are
<br /> conditional on continued compliance this Agreement, and will immediately and automatically terminate
<br /> if the Agency does not comply with any term or condition of this Agreement. During the term of use of
<br /> the Software and after, the Agency will not assert, nor authorize, assist, or encourage any third party
<br /> to assert, against Axon or any Axon affiliates, customers, vendors, business partners, or licensors, any
<br /> patent infringement or other intellectual property infringement claim regarding the Software.
<br /> 4. Support. The Agency acknowledges that Axon offers no guarantee of support or maintenance for
<br /> Amped FIVE until purchased. Once purchased, Axon will offer support of Amped Five for one year at
<br /> support@axon.com. On or before the one year anniversary of purchase, the Agency may purchase
<br /> additional years of support at current pricing. Should no support package be purchased, ongoing
<br /> support and updates are discontinued by Amped for product, even though the Agency license remains
<br /> valid for perpetual use.
<br /> 5. Remedies. THE AGENCY'S EXCLUSIVE REMEDY IS, AT AXON'S SOLE OPTION, REPAIR OR
<br /> REPLACEMENT OF THE SOFTWARE OR REFUND OF PART OR ALL OF THE LICENSE FEE, IF ANY, PAID
<br /> BY THE AGENCY FOR THE SOFTWARE.
