CITY <br /> Lexipol <br /> Agreement Authorizing Use <br /> of Lexipol Training Video <br /> This Agreement is between Everett Police Department, Everett, Washington ("Agency") and Lexipol LLC <br /> ("Lexipol"),for the purpose of authorizing the utilization of Lexipol-developed training webinar video content <br /> entitled"Feeling Sleepy?How Officer Fatigue Creates Individual and Agency Risk."This training webinar video <br /> will be provided to Agency as an mp4 file and is subject to the following: <br /> 1. Agency agrees that the distribution of the video will be limited to the Snohomish County (WA) <br /> Regional Trainers Group via the group training platform Mindflash to serve as a Police Skills Refresher. <br /> Recipient attests that the Mindflash platform will not allow individual users to copy, share or download the <br /> video file. Further, Agency agrees that they will not share, copy, or distribute by any means, the video to <br /> agencies or other third parties beyond the above authorized use by the Regional Trainers Group. <br /> 2. Agency agrees to use the video only for educational/training purposes, not for commercial use. <br /> Agency agrees not to charge a fee for access or viewing of the video. <br /> 3. Copyright; Derivative Works; Lexipol's Ownership. Agency acknowledges and agrees that the video <br /> is a proprietary product of Lexipol, protected under U.S.copyright law,and that Lexipol reserves all rights not <br /> expressly granted in this Agreement. Subject to the terms and conditions contained in this Agreement, <br /> Agency understands that all contents of the video are protected under U.S. copyright law whether marked <br /> as such or not, that Agency will not alter the video in any manner whatsoever, and Agency will not remove <br /> from any copies of the video provided by Lexipol to Agency any copyright notice or other proprietary notice <br /> of Lexipol appearing therein. <br /> 4. Right to Use; Limitations on Use of Lexipol Video. Subject to the terms and conditions contained in <br /> this Agreement, Lexipol hereby grants to Agency a personal, fully paid-up, right to use, except as limited by <br /> the terms of this agreement the video, solely for the purposes identified herein, for the term identified in <br /> Section 5. below. The Agency further agrees not to alter the video in any way,for any purpose.The foregoing <br /> does not, however, prohibit or restrict Agency from providing the video pursuant to an order from a court or <br /> other governmental agency or other legal process, or Freedom of Information Act (FOIA) request, or Public <br /> Records Act(PRA) request. <br /> 5. The term of this Agreement will commence immediately upon execution of this Agreement and will <br /> continue until December 31, 2017. Upon the end of the term, Agency's right to use the training materials <br /> shall cease, however,the obligations of the Agency under Sections 3 and 4 above shall survive the expiration <br /> or termination of this Agreement for any reason whatsoever and at no cost to Lexipol or the Agency. <br />
