2 <br /> Title Company to release to the City the Deed for the Transfer Lot Group. The City's receipt of <br /> the Deed from the Title Company does not release Owner from any obligation under this <br /> Amendment, including without limitation the Owner's obligation to cause to the Title Company <br /> to deliver the Title Policy for the Transfer Lot Group. Owner represents and warrants that,as of <br /> the date of such Deed release, all representations and warranties in Section 1.3 above are true and <br /> accurate as to the Transfer Lot Group. <br /> (c) Transfer Lot 3 Remedies/Escrow. <br /> (1) Thirty(30) days prior to the Transfer Lot 3 Closing Date, Owner <br /> will execute and place in escrow with the Title Company a Deed, subject only to <br /> the Permitted Exceptions applicable to Transfer Lot 3. If Owner has not <br /> conveyed Transfer Lot 3 by the Transfer Lot 3 Closing Date,the Title Company <br /> is instructed,upon written request from the City to the Title Company,to release <br /> to the City the Deed for Transfer Lot 3. The City's receipt of the Deed from the <br /> Title Company does not release Owner from any obligation under this <br /> Amendment,including without limitation the Owner's obligation to cause to the <br /> Title Company to deliver the Title Policy for Transfer Lot 3.
