I AMENDMENT NO.5 PROFESSIONAL SERVICES AGREEMENT BETWEEN THE CITY OF EVERETT AM)BHC CONSULTANTS,LLC This Amendment No. 5 is dated for reference purposes November 2015. It is by and between the City of Everett,a municipal corporation under the laws of the State of Washington ("City")and BHC Consultants,LLC("Contractor"). RECITALS A. The City and Contractor are parties to the Professional Services Agreement dated August 11,2008,as amended,(the"Agreement"),with respect to the Riverfront Development. Under the Agreement,the Contractor provides engineering and consulting services related to leachate,Landfill Gas(LFG),stormwater,sewer and lift station design projects. B. The City and the Contractor desire to amend the Agreement for the purpose of providing construction support services during construction of two sewer lift stations. This requires an increase of$339,471 in the compensation under the Agreement,and additional time for completion. The scope of work for this work is attached to this amendment,marked as Exhibit A. A budget breakdown of the$339,471 is attached to this amendment,marked as Exhibit B. AGREEMENT The City and Contractor agree as follows: 1. The Agreement is amended to add$339,471,as shown in the attached Exhibit B. Accordingly,Section 4.0 of the Agreement is amended,so that it provides that total compensation,including all services and expenses,shall not exceed a maximum of $2,175,491.00. The attached Exhibit B is added to the Agreement. 2. The Agreement scope of work is amended to add the scope of work attached as Exhibit A. 3. Modify Paragraph 3 "Time of Beginning and Completion of Performance"as follows: This agreement shall commence as of the date of execution of this agreement and shall be completed by March 31,2017. 4. All provisions in the Agreement shall remain in effect except as expressly modified by this Amen-lment. 18
