1 1 I ;/1✓1 \.111 • RIGHT-OF-ENTRY AGREEMENT for Snohomish County REAL ESTATE MANAGER PROTECT: COB-Transmission Line#5 at Pilchuck River 3200 CEDAR STREET SITE ADDRESS: Pilchuck River near Three Lakes Road EVERETT,WA 98201 • This agreement made this p, day of 4/2/1... , 2015, by and between the City of Everett, (hereinafter referred to as "Grantor") hereby grants permission to Snohomish County, (hereinafter referred to as"Grantee"), to enter upon certain lands in donation of mutual benefits for the proposes of allowing county staff access for the following: Inspection of restoration planting as required under Snohomish County Permits #11108651-SHOR and#15101919-LDA. The property to which this right-of-entry agreement applies is that portion of City owned property generally known as Snohomish County Assessor's Tax Parcel#28060500300600 and as more specifically depicted on Exhibit A attached hereto and incorporated herein by reference. The Grantor and Grantee, by granting and accepting this right-of-entry agreement respectively, mutually covenant and agree as follows: . 1. The Grantee and or its authorized agents or subcontractors will make reasonable efforts to minimize disruption and inconvenience to said property and uses made thereof. • 2. This right of entry agreement shall terminate on December 31,2020,or until the performance standards are achieved as specified per the permit conditions. - 3. Except as otherwise provided in this paragraph, the Grantee hereby agrees to defend and indemnify the Grantor from any and all Claims arising out of,in connection with, or incident to any acts, errors, omissions, or conduct by Grantee (or its employees, agents, representatives subcontractors/subconsultants) relating to this Agreement.
