5. Ownership-Authority. Locution represents and warrants to the Customer that Locution <br /> has full power and authority to grant the rights set forth in this Exhibit to the Customer with respect <br /> to the Software and Written Materials. <br /> 6. Right of Locution to Terminate for Cause. Locution may terminate its Software <br /> License for cause by giving written notice to the Customer, which notice shall specify the cause. If <br /> the Customer, within 45 days following the receipt of notice, cures the problem giving rise to the <br /> cause, this License shall continue unabated. If, however, the problem is not so cured, then this <br /> License shall terminate on the 46th day following the effective date of such notice. Customer may <br /> choose to terminate the Software License for cause giving written notice to Locution, which notice <br /> shall specify the cause. <br /> 7. Notice. All notices given under or with respect to this Exhibit shall be in writing. Notice shall <br /> be deemed given, effective and received when personally delivered or served, or three business <br /> days after posting when sent by certified mail, return receipt requested, with a copy by first class <br /> mail, postage prepaid, addressed to the party's authorized representative as set forth herein or at <br /> such other address as a party may from time to time designate by Notice. Notice may also be given <br /> and shall be considered delivered and effective the following business day when sent by telex, <br /> facsimile or telegram. Either party, by notice may change any name or address for future notice. <br /> "Business day" shall mean Monday through Friday, excluding New Year's Day, Memorial Day, the <br /> Fourth of July, Labor Day, Thanksgiving and Christmas. <br /> 8. Good Faith.
