4 <br /> This MEMORANDUM OF AGREEMENT ("Agreement") is dated December 18, 2015, and is <br /> between the Central Puget Sound Regional Transit Authority ("Sound Transit") and the City of <br /> Everett ("City"), each of which may be referred to individually as a "Party" or collectively as <br /> "Parties." <br /> RECITALS <br /> Sound Transit is a duly organized regional transit authority existing under Chapters 81104 and <br /> 81.112 RCW and has all powers necessary to implement a high capacity transportation ("HCT") <br /> system and is authorized to perform regional public transportation functions. <br /> The City of Everett is a municipal corporation existing under the laws of the State of <br /> Washington. <br /> The City owns Everett Station, which provides parking stalls, bus bays and platforms to support <br /> Sound Transit commuter rail and bus service. <br /> Sound Transit owns the regional signage and information display hardware, the commuter rail <br /> platform, a commuter rail train operations building, a pedestrian bridge connecting two parking <br /> lots, one parking lot located to the east of the station, and the pedestrian bridge elevator at <br /> Everett Station <br /> The Good Neighbor Policy finalized on September 21, 2000 defined Everett Station as one of <br /> two major multi-modal stations included in the policy. <br /> The Parties entered into an Operations and Maintenance Agreement for Everett Station in <br /> 2002, and have entered into two additional agreements, the most recent of which expires on <br /> December 31, 2015. <br /> The Parties wish to enter into a new Operations and Maintenance Agreement for Everett <br /> Station. The Parties therefore agree as follows: <br /> 1.0 PURPOSE AND SCOPE OF AGREEMENT <br /> The purpose of this Agreement is to specify the respective responsibilities of the Parties <br /> regarding the maintenance and operations of Everett Station related to Sound Transit's ST <br /> Express bus service ("ST Express") and Sounder commuter rail service ("Sounder"). This <br /> Agreement (a) establishes the cost/revenue structure and type of services to be provided by the <br /> City, (b) specifies Sound Transit's responsibilities regarding informational signage, and (c) <br /> allows for additional work that may be agreed upon between the Parties. <br /> 2.0 OWNERSHIP <br /> The City is the owner of the City improvements ("Everett Station Improvements" or"Everett <br /> Station")with the exception of the improvements owned by Sound Transit. Everett Station <br /> ownership is diagrammed in Exhibit A. Accordingly, Sound Transit has no liability or obligations <br /> • with respect to the construction, operation, maintenance, repair, replacement, or ownership of <br /> Everett Station, or claims arising therefrom except as specifically set forth in this Agreement. <br /> Everett Station Operations &Maintenance Agreement, December2015 <br /> Page71 of 12 <br />
