CITY <br /> AMENDMENT NO. 1 <br /> REAL ESTATE PURCHASE AND SALE AGREEMENT <br /> This Amendment No. 1 to the Agreement of Purchase and Sale of Real Property <br /> ("Amendment No. 1") is dated for reference purposes November_, 2017,by and <br /> between the CITY OF EVERETT, a municipal corporation("Buyer"or"City"), and <br /> SNOHOMISH COUNTY HEALTH DISTRICT, a Washington municipal corporation <br /> ("Seller"). <br /> RECITALS <br /> A. Buyer and Seller are parties to the Real Estate Purchase and Sale <br /> Agreement dated on or about September 27, 2017 (the"Agreement"). <br /> B. Buyer and Seller have agreed to certain amendments to the Agreement, <br /> as set forth in this Amendment No. 1. <br /> AGREEMENT <br /> Buyer and Seller agree as follows: <br /> 1. Section 9.4 of the Agreement is replaced with the following: <br /> 9.4 The Property is not subject to any leases or service contracts that <br /> will be in effect after the Closing Date, with the sole exception of that certain <br /> lease between the Seller and United States of America as tenant dated December <br /> 7,2011. On or before the Closing Date, the Seller will deposit into escrow an <br /> estoppel certificate in a form reasonably acceptable to the Buyer fully executed <br /> by such tenant. Buyer has no obligation to close unless such certificate is so <br /> delivered. <br /> 2. The Effective Date of the Agreement is deemed to be September 27, 2017. <br /> 3.
