CITY <br /> AMENDMENT NO. 1 <br /> PROFESSIONAL SERVICES AGREEMENT <br /> BETWEEN THE CITY OF EVERETT <br /> AND NORTHWEST INNOVATION RESOURCE CENTER <br /> This Amendment No. 1 is dated for reference purposes November 3, 2017. 1t is <br /> by and between the City of Everett, a municipal corporation under the laws of the State of <br /> Washington ("City") and Northwest Innovation Resource Center, 2200 Rimland Drive, <br /> Suite 210, Bellingham WA 98226 ("Service Provider"). <br /> RECITALS <br /> A. The City and Service Provider are parties to the Professional Services <br /> Agreement dated October 6, 2017 (the "Agreement"). <br /> B. The City and the Service Provider desire to amend the Agreement for the <br /> purpose of including matching funds from Snohomish County and Kamionka Foundation <br /> in the amount of$15,125.00. These matching funds are held by Northwest Innovation <br /> Resource Center (the "Non-Profit Organization"). These were inadvertently omitted <br /> from the Agreement. <br /> AGREEMENT <br /> The City and Service Provider agree as follows: <br /> 1. Service Provider will be compensated for the Work under the Agreement as <br /> follows: <br /> a. 'l'he City will compensate Service Provider a total of Forty-Three <br /> Thousand Dollars ($43,875), as set forth in the Agreement. The City has <br /> no obligation to pay in excess of$43,875. <br /> b. The Service Provider agrees that the Non-Profit is responsible for paying <br /> to Service Provider the matching fund amount of $15,125. Service <br /> Provider will make arrangements for such payment directly with the Non- <br /> Profit Organization. <br /> 2. At the sole discretion of the City, the City may consent to the Service Provider's <br /> signature on this Amendment being by email, fax, pdf or other electronic means, in <br /> which case such Service Provider signature will be deemed an original signature for <br /> all purposes. The City will be deemed to have given such consent effective upon <br /> execution of this Amendment by the Mayor of the City. <br /> 3. All provisions in the Agreement shall remain in effect except as expressly <br /> modified by this Amendment. <br />
